These General Terms and Conditions of Sale apply only in relation to entrepreneurs acting in the exercise of their commercial or self-employed professional activity and in relation to legal entities under public law. They apply to all business dealings between Rocket Dental GmbH (hereinafter referred to as &#8220;Rocket Dental&#8221;) and the customer, even if they are not mentioned in subsequent contracts.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cd501e6 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"cd501e6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. Conflicting, additional or deviating terms and conditions of the customer shall not become part of the contract unless Rocket Dental has agreed to their application in writing. These General Terms and Conditions of Sale shall also apply if Rocket Dental carries out a delivery to the customer without reservation in the knowledge of the customer&#8217;s conflicting, additional or deviating terms and conditions.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9c393ab textStyle elementor-widget elementor-widget-text-editor\" data-id=\"9c393ab\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>3. Conflicting, additional or deviating agreements relating to these General Terms and Conditions of Sale that are made between Rocket Dental and the customer for the performance of a contract must be set out in writing in the contract. This also applies to the waiver of this written form requirement.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-552eb4a textStyle elementor-widget elementor-widget-text-editor\" data-id=\"552eb4a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>4. Rights to which Rocket Dental is entitled under statutory provisions or other agreements beyond these General Terms and Conditions of Sale remain unaffected.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ab71d5b titleLegacy elementor-widget elementor-widget-heading\" data-id=\"ab71d5b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>2.<\/span> Conclusion and Performance of the Contract<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4df0da7 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"4df0da7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. For orders placed via the Rocket Dental online shop, the contract is concluded as follows:<\/p><p>a) General<\/p><p>aa) The products offered in the online shop do not constitute a binding offer to conclude a contract, but merely an invitation to the customer to place an order.<\/p><p>bb) The text of the contract is stored by Rocket Dental after an order has been placed. However, it is not accessible to the customer after conclusion of the contract.<\/p><p>b) Conclusion of contract for individual deliveries<\/p><p>aa) The customer can select the products displayed in the online shop by clicking on them and place them in the &#8220;shopping cart&#8221; by clicking on &#8220;Buy now&#8221; (for a one-time purchase of 160 units) or on &#8220;Order trial pack&#8221; (for the trial pack of 8 units). A trial pack may be purchased only once per practice. The customer is then directed to the checkout page, where the customer can enter the shipping details and select the payment method. Finally, the customer must confirm his or her status as an entrepreneur by ticking the corresponding checkbox. An order is placed bindingly by the customer when, at the end of the ordering process, the customer clicks the electronic button &#8220;Pay&#8221; on the checkout page. Before clicking the &#8220;Pay&#8221; button, the previously entered data and the contents of the shopping cart can be changed at any time, or the ordering process can be cancelled by leaving the online shop. With such an order, the customer submits to Rocket Dental an offer to conclude a contract for an individual delivery.<\/p><p>bb) After placing the order, the customer receives a confirmation of receipt of the order. This confirmation of receipt does not constitute acceptance of the offer, but merely informs the customer that the order has been received by Rocket Dental.<\/p><p>cc) The contract for an individual delivery is concluded only upon receipt of the order confirmation from Rocket Dental by the customer or when Rocket Dental delivers the products to the customer. In the case of shipment of the products, the contract is concluded as soon as Rocket Dental hands over the ordered products to the customer.<\/p><p>dd) If delivery of the ordered products is not possible, Rocket Dental will refrain from issuing a declaration of acceptance. In this case, no contract is concluded.<\/p><p>c) Conclusion of contract for subscriptions (&#8220;RING Autopilot&#8221;)<\/p><p>aa) The customer has the option of concluding a subscription (&#8220;RING Autopilot&#8221;) for the recurring delivery of products (&#8220;continuing supply contract&#8221;). For this purpose, the customer selects the &#8220;RING Autopilot&#8221; option in the online shop and places the desired products and their quantity in the shopping cart by clicking on the button &#8220;Deliver monthly&#8221;. The customer is then directed to the checkout page, where the customer can enter the shipping details and select the payment method. Finally, the customer must confirm his or her status as an entrepreneur by ticking the corresponding checkbox.<\/p><p>bb) The order for a subscription is placed bindingly by the customer when, at the end of the ordering process, the customer clicks the electronic button &#8220;Subscribe with obligation to pay&#8221; on the checkout page. Before clicking the &#8220;Subscribe with obligation to pay&#8221; button, the previously entered data can be changed at any time, or the ordering process can be cancelled by leaving the online shop. With such an order, the customer submits to Rocket Dental an offer to conclude a subscription (&#8220;continuing supply contract&#8221;).<\/p><p>cc) After placing the order, the customer receives a confirmation of receipt of the order. This confirmation of receipt does not constitute acceptance of the offer, but merely informs the customer that the order has been received by Rocket Dental.<\/p><p>dd) The subscription (&#8220;continuing supply contract&#8221;) is concluded upon receipt of the order confirmation from Rocket Dental by the customer. The subject matter of the subscription is the automatic, recurring delivery of the contractually agreed quantity of products at monthly delivery intervals.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-cdc7e09 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"cdc7e09\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. For orders placed outside the online shop, the contract is concluded as follows:<\/p><p>a) Offers made by Rocket Dental are subject to change and non-binding, unless Rocket Dental states otherwise in writing.<\/p><p>b) By placing an order, the customer submits to Rocket Dental an offer to conclude a contract.<\/p><p>c) The contract is concluded when Rocket Dental confirms the order by sending a written order confirmation within two weeks or when Rocket Dental executes the order, in particular by sending the ordered products to the customer.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8c48940 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"8c48940\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>3. The language of the contract is English.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e3deed5 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"e3deed5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>4. Illustrations, drawings, weight and dimension specifications and other descriptions of the products contained in the documents belonging to the offer are only approximately authoritative, unless they are expressly designated as binding. They do not constitute an agreement on or guarantee of a corresponding quality or durability of the products, unless expressly agreed as such in writing. Likewise, expectations of the customer regarding the products or their use do not constitute an agreement or guarantee.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-476151a textStyle elementor-widget elementor-widget-text-editor\" data-id=\"476151a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>5. Rocket Dental reserves all ownership rights, copyrights and other intellectual property rights in all offer documents. Such documents may not be made accessible to third parties. Upon request by Rocket Dental, the customer shall promptly return all offer documents to Rocket Dental if they are no longer required in the ordinary course of business. The same applies in particular to all other documents, samples and models.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e7aafc3 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"e7aafc3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>6. If the financial circumstances of the customer deteriorate significantly, or if a substantiated application for the opening of insolvency or comparable proceedings over the customer&#8217;s assets is rejected for lack of assets, Rocket Dental is entitled to withdraw from the contract in whole or in part.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f319df9 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"f319df9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>3.<\/span> Scope of Delivery, Changes to the Products<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e9db712 elementor-widget elementor-widget-text-editor\" data-id=\"e9db712\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. The written order confirmation from Rocket Dental is authoritative for the scope of the delivery. Changes to the scope of delivery by the customer require the written confirmation of Rocket Dental to be effective. Changes to the form of the products remain reserved insofar as they are deviations customary in the industry, or insofar as the deviations are within DIN tolerances, or insofar as the changes are not significant and are reasonable for the customer. The same applies to the choice of material and the specification.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-92b562a textStyle elementor-widget elementor-widget-text-editor\" data-id=\"92b562a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. Delivery in instalments is permitted, unless delivery in instalments is unreasonable for the customer taking into account the interests of Rocket Dental.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d205255 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"d205255\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>4.<\/span> \"RING Autopilot\" Subscription<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6c45cf9 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"6c45cf9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. The customer has the option of concluding a &#8220;RING Autopilot&#8221; subscription (hereinafter referred to as the\u00a0&#8220;<strong>Subscription<\/strong>&#8220;). The Subscription comprises the automatic monthly delivery of the products selected by the customer in the ordered quantity. No separate order by the customer is required for the respective monthly deliveries.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e100fb8 elementor-widget elementor-widget-text-editor\" data-id=\"e100fb8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. The Subscription is concluded for an indefinite period. It may be terminated by either party at any time up to the beginning of the next billing period. The right of both parties to terminate the Subscription remains unaffected. Termination must be made in writing, for which an email is sufficient.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d77e628 elementor-widget elementor-widget-text-editor\" data-id=\"d77e628\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>3. Deliveries are made monthly on the agreed delivery date. The customer is regularly informed by email about the status of the monthly deliveries.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e9a5b2f elementor-widget elementor-widget-text-editor\" data-id=\"e9a5b2f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>4. The regular list price agreed in each case applies to products purchased under a Subscription. In the case of temporary discounts or other promotional benefits (hereinafter jointly referred to as a\u00a0&#8220;Promotion&#8221;), Rocket Dental grants a reduced price for the announced promotion period. The start, scope and end of the respective Promotion will be announced separately. During the promotion period, the promotional price is automatically applied to all ongoing Subscriptions from their respective next delivery. For newly concluded Subscriptions, by way of derogation, the first delivery is always charged at the regular list price; a discount or other promotional benefit is granted for the first time from the second consecutive delivery. After expiry of the respective promotion period, the subsequent deliveries are automatically charged again at the agreed regular list price. No separate notification, consent or price change agreement is required for this. The customer has no claim to the carrying out of future Promotions or to the permanent granting of discounts or other promotional benefits.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8122c33 elementor-widget elementor-widget-text-editor\" data-id=\"8122c33\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>5. Rocket Dental is entitled to adjust the prices for the Subscription with effect for future deliveries. Price changes will be communicated to the customer by email at least 30 days before they take effect. The customer is entitled to terminate the Subscription up to the time the price change takes effect. The ordinary right of termination under Clause IV.2. of these Terms remains unaffected. If no termination is made, the changed price applies to further deliveries from the date communicated.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d5142e1 elementor-widget elementor-widget-text-editor\" data-id=\"d5142e1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>6. The Subscription is billed monthly in advance for the respective delivery cycle via the payment method selected and authorised by the customer at the conclusion of the contract in accordance with Clause VII.2. of these General Terms and Conditions of Sale. The customer undertakes to ensure at all times that the payment method has sufficient funds or remains valid. If SEPA business-to-business direct debit (SEPA B2B Direct Debit) is selected, it is the customer&#8217;s responsibility to register and have the issued mandate confirmed with his or her account-holding bank without delay.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b3770dd elementor-widget elementor-widget-text-editor\" data-id=\"b3770dd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>7. In all other respects, the provisions of these General Terms and Conditions of Sale also apply to the Subscription.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-576787b titleLegacy elementor-widget elementor-widget-heading\" data-id=\"576787b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>5.<\/span> Delivery Time<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-262e246 elementor-widget elementor-widget-text-editor\" data-id=\"262e246\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. Delivery periods and dates are non-binding unless they have previously been designated as binding by Rocket Dental in writing.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a00c2a2 elementor-widget elementor-widget-text-editor\" data-id=\"a00c2a2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. The delivery period begins with the conclusion of the contract, but in the case of advance payment not before receipt of the payment. In the case of a delivery date, the delivery date is postponed by a reasonable period if, in the case of advance payment, the payment is not received in full by Rocket Dental. Compliance with the delivery time presupposes the timely and proper fulfilment of the customer&#8217;s other obligations.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-afc37e3 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"afc37e3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>3. The delivery time is deemed to have been met if the products have left the logistics centre by its expiry or if Rocket Dental has notified the customer of readiness for collection or dispatch. Compliance with the delivery time is subject to proper, in particular timely, supply to Rocket Dental by its own suppliers, unless Rocket Dental is responsible for the reason for the improper self-supply. In the event of improper self-supply, Rocket Dental is entitled to withdraw from the contract. Rocket Dental will inform the customer without delay if Rocket Dental exercises its right of withdrawal and will refund any advance payments made by the customer.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b89c969 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"b89c969\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>4. In the event of a delay in delivery, the customer is entitled to withdraw from the contract after the fruitless expiry of a reasonable grace period that the customer has set for Rocket Dental after the occurrence of the delay in delivery.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e646447 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"e646447\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>6.<\/span> Cross-Border Deliveries<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-89f8628 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"89f8628\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. In the case of cross-border deliveries, the customer shall, at his or her own expense and in good time, make all declarations and take all actions vis-a-vis the competent authorities that are necessary for export from Germany and import into the country of destination, in particular obtain the documents required for customs clearance and comply with the requirements of any export controls or other restrictions on marketability.<\/p><p>2. Deliveries are subject to the proviso that performance is not prevented by any obstacles arising from national or international regulations, in particular export control provisions as well as embargoes or other sanctions.<\/p><p>3. Delays due to export controls extend delivery periods accordingly; delivery dates are postponed by a reasonable period.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-41e2474 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"41e2474\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>7.<\/span> Prices and Payment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e530397 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"e530397\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. Unless otherwise agreed, prices apply ex Rocket Dental&#8217;s logistics centre and do not include shipping or packaging costs, insurance, statutory taxes, customs duties or other charges. The costs incurred in this respect, in particular shipping costs, will be invoiced separately. Statutory value added tax will be shown separately in the invoice at the statutory rate applicable on the date of invoicing.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9e05874 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"9e05874\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. The customer may choose from the following payment methods:<\/p><p>a) Credit card (Visa, Mastercard, American Express) via the payment service provider Stripe Payments Europe Ltd. (Dublin, Ireland)<\/p><p>b) Apple Pay and Google Pay via the payment service provider Stripe Payments Europe Ltd. (Dublin, Ireland)<\/p><p>c) SEPA direct debit via the payment service provider Stripe Payments Europe Ltd. (Dublin, Ireland) after issuing a SEPA direct debit mandate<\/p><p>d) Purchase on invoice via the payment service provider Billie GmbH, Charlottenstrasse 4, 10969 Berlin, Germany, whereby the payment method purchase on invoice is available exclusively to verified practices and companies and exclusively after a successful credit check by Billie GmbH, Charlottenstrasse 4, 10969 Berlin, Germany. To carry out the credit check, the necessary customer data will be transmitted to Billie GmbH, Charlottenstrasse 4, 10969 Berlin, Germany. The customer consents to the transmission of his or her data for the credit check.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7c2bd8f textStyle elementor-widget elementor-widget-text-editor\" data-id=\"7c2bd8f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>3. For payment by credit card, Apple Pay, Google Pay or SEPA direct debit, the invoice amount is due immediately upon conclusion of the contract. For purchase on invoice, the invoice amount is payable without deduction within 30 days of the invoice date.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0ff4d52 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"0ff4d52\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>4. In the event of default in payment, the customer shall pay default interest at a rate of 9 percentage points above the applicable base interest rate per annum. Further claims of Rocket Dental remain unaffected.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6069c91 textStyle elementor-widget elementor-widget-text-editor\" data-id=\"6069c91\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>5. In the case of cross-border transactions, by way of derogation from paragraph 3, the invoice amount is due before delivery, unless otherwise agreed in writing beforehand.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ee4e9b6 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"ee4e9b6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>8.<\/span> Transfer of Risk<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ef61da4 elementor-widget elementor-widget-text-editor\" data-id=\"ef61da4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. The risk of accidental loss and accidental deterioration passes to the customer as soon as the products leave the logistics centre of Rocket Dental or of a third party commissioned by Rocket Dental for the purpose of shipment. In the case of collection by the customer, the risk passes to the customer upon notification of readiness for collection. Sentences 1 and 2 also apply if delivery is made in instalments or if Rocket Dental has assumed further services, such as the shipping costs.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-89f09b0 elementor-widget elementor-widget-text-editor\" data-id=\"89f09b0\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. If the customer is in default of acceptance, Rocket Dental may demand compensation for the damage incurred, unless the customer is not responsible for the non-acceptance of the products, as well as reimbursement of any additional expenses. In particular, Rocket Dental is entitled to store the products during the default of acceptance at the customer&#8217;s expense. The costs for storing the products are set at a flat rate of 0.5% of the net invoice value per commenced calendar week. Further claims of Rocket Dental remain unaffected. The customer is entitled to prove that Rocket Dental incurred no costs or significantly lower costs. The same applies if the customer breaches other duties to cooperate, unless the customer is not responsible for the breach of other duties to cooperate. The risk of accidental loss or accidental deterioration of the products passes to the customer at the latest at the point in time at which the customer is in default of acceptance. Rocket Dental is entitled, after the fruitless expiry of a reasonable period set by Rocket Dental, to dispose of the products otherwise and to supply the customer within a reasonably extended period.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2126d7c elementor-widget elementor-widget-text-editor\" data-id=\"2126d7c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>3. If shipment is delayed as a result of circumstances for which Rocket Dental is not responsible, the risk passes to the customer upon notification of readiness for shipment.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-039c0ff elementor-widget elementor-widget-text-editor\" data-id=\"039c0ff\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>4. The customer must accept the products, without prejudice to his or her claims for defects, even if they show insignificant defects.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9d6062c titleLegacy elementor-widget elementor-widget-heading\" data-id=\"9d6062c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>9.<\/span> Claims for Defects<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-241d435 elementor-widget elementor-widget-text-editor\" data-id=\"241d435\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. The customer&#8217;s rights in respect of defects presuppose that the customer has inspected the delivered products upon delivery and has notified Rocket Dental of obvious defects in writing without delay, at the latest within two weeks of delivery of the products, at\u00a0hello@rocket.dental. Hidden defects must be notified to Rocket Dental in writing without delay after their discovery. In the notification to Rocket Dental, the customer must describe the defects in writing, ideally enclosing a photo, and state the order number and batch number (on the packaging). When using the products, the customer must also observe the requirements and instructions in the documents accompanying the products. Claims for defects arising as a result of a breach of this obligation are excluded.<\/p><p>2. In the case of defects in the products, Rocket Dental is entitled, at its own discretion, to subsequent performance either by remedying the defect or by delivering a defect-free product. In the case of subsequent performance, Rocket Dental is obliged to bear all expenses necessary for the purpose of subsequent performance, in particular transport, travel, labour and material costs. Personnel and material costs claimed by the customer in this connection are to be calculated on a cost price basis. Replaced parts become the property of Rocket Dental and must be returned to Rocket Dental.<\/p><p>3. If Rocket Dental is not willing or able to carry out subsequent performance, the customer may, without prejudice to any claims for damages or reimbursement of expenses, at his or her option, withdraw from the contract in accordance with the law or reduce the delivery price. The same applies if the subsequent performance fails, is unreasonable for the customer, or is delayed beyond reasonable periods for reasons for which Rocket Dental is responsible.<\/p><p>4. No claims for defects arise for defects resulting from improper use or storage or improperly executed modifications of the products by the customer or third parties. The same applies to defects that are attributable to the customer or that are due to a cause other than the original defect.<\/p><p>5. Claims by the customer for reimbursement of expenses in lieu of damages in lieu of performance are excluded insofar as a reasonable third party would not also have incurred the expenses.<\/p><p>6. Rocket Dental does not assume any guarantees, in particular no guarantees of quality or durability, unless otherwise agreed in writing in the individual case.<\/p><p>7. The limitation period for the customer&#8217;s claims for defects is one year. The limitation period of one year also applies to claims in tort based on a defect in the products. The limitation period begins with the delivery of the products. The limitation period of one year does not apply to the unlimited liability of Rocket Dental for damage arising from the breach of a guarantee or from injury to life, body or health, for intent and gross negligence and for product defects, or insofar as Rocket Dental has assumed a procurement risk.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fa0f036 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"fa0f036\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>10.<\/span> Liability of Rocket Dental<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f78c21c elementor-widget elementor-widget-text-editor\" data-id=\"f78c21c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. Rocket Dental is liable without limitation for damage arising from the breach of a guarantee or from injury to life, body or health. The same applies to intent and gross negligence or insofar as Rocket Dental has assumed a procurement risk. For slight negligence, Rocket Dental is liable only if essential obligations are breached which arise from the nature of the contract and which are of particular importance for achieving the purpose of the contract. In the event of a breach of such obligations, default and impossibility, the liability of Rocket Dental is limited to such damage as must typically be expected to arise within the scope of this contract. Mandatory statutory liability for product defects remains unaffected.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-12b3003 elementor-widget elementor-widget-text-editor\" data-id=\"12b3003\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. Insofar as the liability of Rocket Dental is excluded or limited, this also applies to the personal liability of the employees, workers, staff, representatives and vicarious agents of Rocket Dental.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d8c427e titleLegacy elementor-widget elementor-widget-heading\" data-id=\"d8c427e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>11.<\/span> Product Liability<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-66fa7e9 elementor-widget elementor-widget-text-editor\" data-id=\"66fa7e9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. The customer will not modify the products; in particular, the customer will not modify or remove existing warnings about dangers arising from improper use of the products. In the event of a breach of this obligation, the customer shall indemnify Rocket Dental internally against product liability claims of third parties, unless the customer is not responsible for the modification of the products.<\/p><p>2. If Rocket Dental is prompted to carry out a product recall or product warning due to a product defect in the products, the customer will cooperate to the best of his or her ability in the measures that Rocket Dental considers necessary and expedient and will support Rocket Dental in doing so, in particular in determining the necessary customer data. The customer is obliged to bear the costs of the product recall or product warning, unless the customer is not responsible for the product defect under product liability principles. Further claims of Rocket Dental remain unaffected.<\/p><p>3. The customer will inform Rocket Dental in writing without delay of any risks in the use of the products and possible product defects that come to his or her knowledge.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-bcae4bd titleLegacy elementor-widget elementor-widget-heading\" data-id=\"bcae4bd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>12.<\/span> Force Majeure<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8952581 elementor-widget elementor-widget-text-editor\" data-id=\"8952581\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. If Rocket Dental is prevented from fulfilling its contractual obligations, in particular from delivering the products, by force majeure, Rocket Dental shall be released from its obligation to perform for the duration of the impediment plus a reasonable start-up period, without being obliged to pay damages to the customer. The same applies if the fulfilment of Rocket Dental&#8217;s obligations is made unreasonably difficult or temporarily impossible by unforeseeable circumstances for which Rocket Dental is not responsible, in particular industrial action, a pandemic, official measures, energy shortages, a cyberattack or significant operational disruptions. This also applies if these circumstances occur at a sub-supplier. This also applies if Rocket Dental is already in default. Insofar as Rocket Dental is released from its delivery obligation, Rocket Dental will refund any advance payments made by the customer.<\/p><p>2. Rocket Dental is entitled to withdraw from the contract after the expiry of a reasonable period if such an impediment lasts for more than four months and Rocket Dental no longer has an interest in the performance of the contract as a result of the impediment. At the customer&#8217;s request, Rocket Dental will declare after expiry of the period whether Rocket Dental will exercise its right of withdrawal or deliver the products within a reasonable period.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b9eaaa6 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"b9eaaa6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>13.<\/span> Retention of Title<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3bbfcd3 elementor-widget elementor-widget-text-editor\" data-id=\"3bbfcd3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. The delivered products remain the property of Rocket Dental until full payment of the delivery price and of all claims to which Rocket Dental is entitled against the customer arising from the business relationship. The customer is obliged to treat the products subject to retention of title with care for the duration of the retention of title.<\/p><p>2. The customer is permitted to sell the products subject to retention of title only in the ordinary course of business. Otherwise, the customer is not entitled to pledge the products subject to retention of title, to transfer them by way of security or to make any other dispositions endangering the ownership of Rocket Dental. In the event of seizures or other interventions by third parties, the customer must notify Rocket Dental in writing without delay and provide all necessary information, inform the third party of Rocket Dental&#8217;s ownership rights and cooperate in the measures taken by Rocket Dental to protect the products subject to retention of title. Insofar as the third party is not in a position to reimburse Rocket Dental for the judicial and extrajudicial costs of enforcing Rocket Dental&#8217;s ownership rights, the customer is obliged to compensate Rocket Dental for the resulting loss, unless the customer is not responsible for the breach of duty.<\/p><p>3. The customer hereby assigns to Rocket Dental in advance the claims arising from the resale of the products together with all ancillary rights, irrespective of whether the products subject to retention of title are resold without or after processing. Rocket Dental hereby accepts this assignment in advance. If an assignment should not be permissible, the customer hereby instructs the third-party debtor to make any payments only to Rocket Dental. The customer is revocably authorised to collect the claims assigned to Rocket Dental in his or her own name in trust for Rocket Dental. The amounts collected must be paid over to Rocket Dental without delay. Rocket Dental may revoke the customer&#8217;s collection authorisation and the customer&#8217;s authorisation to resell for good cause, in particular if the customer does not properly meet his or her payment obligations towards Rocket Dental, is in default of payment, suspends payments, or if the opening of insolvency proceedings or comparable debt settlement proceedings over the customer&#8217;s assets is applied for by the customer, or if a substantiated application by a third party for the opening of insolvency proceedings or comparable debt settlement proceedings over the customer&#8217;s assets is rejected for lack of assets. In the event of a global assignment by the customer, the claims assigned to Rocket Dental must be expressly excluded.<\/p><p>4. At the request of Rocket Dental, the customer is obliged to inform the third-party debtor of the assignment without delay and to provide Rocket Dental with the information and documents required for collection.<\/p><p>5. In the event of conduct in breach of contract, in particular default in payment by the customer, Rocket Dental is entitled, without prejudice to its other rights, to withdraw from the contract after the expiry of a reasonable grace period set by Rocket Dental. The customer must grant Rocket Dental or its agents immediate access to the products subject to retention of title and surrender them. After appropriate timely notice, Rocket Dental may otherwise realise the products subject to retention of title in order to satisfy its due claims against the customer.<\/p><p>6. At the customer&#8217;s request, Rocket Dental is obliged to release the securities to which it is entitled insofar as the realisable value of the securities, taking into account customary bank valuation discounts, exceeds Rocket Dental&#8217;s claims arising from the business relationship with the customer by more than 10%. The valuation shall be based on the invoice value of the products subject to retention of title and on the nominal value in the case of claims. The selection of the items to be released is at the discretion of Rocket Dental.<\/p><p>7. In the case of deliveries to other jurisdictions in which this retention of title provision does not have the same security effect as in the Federal Republic of Germany, the customer hereby grants Rocket Dental a corresponding security interest. If further measures are required for this, the customer will do everything to grant Rocket Dental such a security interest without delay. The customer will cooperate in all measures that are necessary and conducive to the effectiveness and enforceability of such security interests.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-189c9f5 titleLegacy elementor-widget elementor-widget-heading\" data-id=\"189c9f5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><span>14.<\/span> Final Provisions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-17806e4 elementor-widget elementor-widget-text-editor\" data-id=\"17806e4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>1. The transfer of rights and obligations of the customer to third parties is possible only with the prior written consent of Rocket Dental.<\/p><p>2. Counterclaims of the customer entitle the customer to set-off only if they have been finally established by a court or are undisputed. The customer may assert a right of retention only if his or her counterclaim is based on the same contractual relationship.<\/p><p>3. The legal relationship between the customer and Rocket Dental is governed by the law of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).<\/p><p>4. If the customer is a merchant within the meaning of the German Commercial Code (Handelsgesetzbuch), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the business relationship between Rocket Dental and the customer is the registered office of Rocket Dental. Rocket Dental is also entitled to bring an action at the customer&#8217;s registered office. Arbitration clauses are objected to.<\/p><p>5. The place of performance for all obligations of the customer and of Rocket Dental is the registered office of Rocket Dental, unless otherwise agreed.<\/p><p>6. Should any provision of these General Terms and Conditions of Sale be or become invalid or unenforceable in whole or in part, or should these General Terms and Conditions of Sale contain a gap, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, that valid or enforceable provision shall be deemed agreed which comes closest to the purpose of the invalid or unenforceable provision.
